1. About these terms
These terms are between PEBBLEBLACK PTE. LTD., UEN 202531369R, a company in Singapore ("Proppy", "we", "us"), and the managing agent firm that signs up ("you"). They cover your use of Proppy, the software at app.talktoproppy.com. The person who signs up confirms they're authorised to accept these terms for the firm. The Data Processing Agreement, and anything we agree with you in writing, form part of them.
2. What Proppy does
Proppy reads the supplier invoices you send it with an AI model, suggests which MCST, fund, and account each belongs to, checks amounts and GST, and drafts payment vouchers. When you connect your MCSTs' Xero organisations, it posts approved vouchers to them as Draft bills, with the invoice attached, and Xero keeps them under your own agreement with Xero. Otherwise, you download ledger files.
- What Proppy prepares is a draft for your people to check. A person at your firm checks and approves each invoice, unless your firm chooses auto-approval for routine invoices within limits it sets. Auto-approval is off until your owner turns it on for an MCST, with a limit in SGD. Proppy then approves an invoice for that MCST by itself only when every check passes with nothing flagged, from a supplier it knows, and within that limit. It never approves a credit note, a sinking fund item, or anything that needs a spending-limit or council approval this way, and the voucher and the audit log say it was approved automatically, under whose rule. Your firm is responsible for what's approved, including what Proppy approves under your rule. Proppy never posts a bill by itself: a person at your firm posts each one.
- Proppy never makes payments or moves money. Your firm pays suppliers, outside Proppy. When someone marks an invoice as already paid, Proppy records what they say, and doesn't check it.
- Proppy's suggestions, including what it reads from an invoice, can be wrong. You're responsible for checking them, and for what's approved, paid, and posted. Before paying, check each supplier's bank details against what you hold, since a changed bank account on an invoice is a common fraud, and make sure each payment has the approvals its MCST requires.
- Proppy doesn't give accounting, tax, or legal advice. It doesn't replace an MCST's council approvals, its auditors, or your own duties under the Building (Strata Management) Act 2004 (BSMA), called the Building Maintenance and Strata Management Act until 1 October 2025.
3. Your account
- Give accurate details, and keep them up to date.
- Keep sign-in details private. Proppy signs people in with an email address and a password, without a second step, so each person should use a strong password they don't use anywhere else. Tell us at once if you think someone has used your account without permission.
- Your owners and admins decide who's on your team and what each person can do. You're responsible for what your team does in Proppy.
4. Your data
- The invoices, MCST records, and other data you put into Proppy belong to you and your MCSTs.
- You let us store, copy, and process them only as needed to provide, secure, and support Proppy for you, and to measure and improve how well it reads your invoices. We don't sell them, share them with other customers, or use them to train AI models.
- We process the personal data in them for you under the Data Processing Agreement. The Privacy and data notice explains how we handle the personal data of the people who use Proppy.
- You're responsible for having the right to send us the data you send, including any personal data in it. Don't send us NRIC numbers you don't need to: Proppy masks any it reads, but keeps each file as it was received.
- Proppy, its software, and what we make to provide it stay ours. If you suggest an improvement, we may use it freely.
5. Using Proppy fairly
Don't:
- use Proppy for anything unlawful, or for data you have no right to process
- try to get into other firms' data, test Proppy's security without our written permission, or overload it
- send Proppy files made to harm it or anyone else
- copy, resell, or reverse-engineer Proppy, except as the law allows
6. Fees
Your firm pays for each MCST it sets up in Proppy. Every MCST gets all of Proppy: it reads, routes, and codes your invoices, and drafts their payment vouchers.

- Free trial: your firm's first 30 days, from the day it signs up, are free, with no card. Every MCST your firm sets up during the trial is free until the trial ends, however many it sets up.
- Your paid subscription starts the day after the trial ends, with every MCST your firm has then. We bill monthly, in advance, from that day. Each billing month runs from that date in one month to the day before the same date in the next; if a month has no such date, its billing month starts on its last day. There's no charge for part of a month at the start.
- Launch price: if your firm signs up on or before 31 March 2027, 11:59 p.m. Singapore time, the fee for every MCST is S$25 a month for the first 12 billing months of your paid subscription, then S$45 a month. It ends on the same day for all your MCSTs, including ones you add later.
- Every MCST set up in Proppy counts. An MCST set up during a billing month is charged by the day for the rest of it, on the next bill: the days left divided by the days in that billing month, times its monthly fee on the day it's set up. An MCST removed during a billing month is credited the same way against the next bill; credits aren't paid out in cash.
- Fair use is about 100 invoices per MCST a month. If you're well above that, we'll talk. Invoices count as the pricing page's "What counts as an invoice?" says. We don't charge for invoices, and nothing stops: every invoice is still read.
- After your free trial, we send you a one-time secure Stripe payment link. You enter your card once, and Stripe then charges that card automatically every month.
- We don't charge GST. PEBBLEBLACK PTE. LTD. isn't registered for GST, so the fee is all you pay. If PEBBLEBLACK PTE. LTD. registers for GST, GST at the prevailing rate will be added to our fees, after we give you at least 30 days' written notice.
- If a payment isn't made when it's due, your account may become read-only until it's paid. You can still see and download everything, and nothing is deleted because a payment is late.
- We'll give you at least 30 days' notice of any change to our fees.
- Fees aren't refunded, except where these terms or the Data Processing Agreement say so.
- An offer we agree with you in writing, such as a discount, applies as agreed.
7. Availability and changes
We work to keep Proppy running and secure, and we'll tell you in advance about planned downtime where we can. We don't promise it will always be available or free of errors. We may improve or change Proppy. If a change takes away something you rely on, we'll give you reasonable notice.
8. Changes to these terms
- We may update these terms and the Data Processing Agreement. For a change that affects you, we email your owners and admins at least 30 days before it applies, and publish the new version, with its date, on our website. A change the law requires, or that fixes a security problem, can apply sooner, and we tell you as soon as we can.
- If you keep using Proppy after a change applies, it applies to you. Where the law needs your fresh agreement, we ask for it.
- If you don't agree with a change, you can stop using Proppy before it applies, and we refund the fees you paid in advance for whole months after it ends.
9. Confidentiality
- Each of us keeps what it learns of the other's business through Proppy confidential, uses it only for these terms, and shares it only with people who need it and are bound to keep it confidential. Your data is your confidential information.
- This doesn't cover what's public through no fault of the one who received it, what it already had, or what the law requires it to disclose, after telling the other where it may.
- This lasts for 3 years after these terms end, and for as long as we hold your data.
10. Responsibility
- Nothing in these terms limits liability that the law doesn't allow to be limited, such as for death or personal injury caused by negligence, or for fraud.
- Beyond what these terms say, Proppy is provided as it is, and we don't promise that what it reads or suggests is right.
- Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, or goodwill.
- We aren't liable for losses from a payment, approval, or posting your firm made, including a payment to a wrong bank account, unless someone got into Proppy because we failed to keep it secure.
- Otherwise, each of us is liable to the other, under these terms and the Data Processing Agreement together, for no more than the fees you paid us in the 12 months before the event that led to the claim, or 500 SGD if that's more. This doesn't limit the fees you owe.
- Neither of us gives the other an indemnity under these terms.
11. Suspension and ending
- You can stop using Proppy at any time. Before you go, you can download your vouchers, ledger files, audit packs, and each MCST's full records. What you've paid for runs to the end of the period it covers.
- We may suspend or end an account that breaks these terms, after telling you why and, where we can, giving you 14 days to put it right. To stop a security threat, serious harm, or unlawful use, we may suspend access at once, and tell you why as soon as we can.
- If we stop providing Proppy altogether, we'll give you at least 90 days' notice, so you can download each MCST's records.
- When an account ends, your MCSTs' records are kept for at least 5 years from the end of each financial year, as the BSMA requires, and then deleted, as the Data Processing Agreement says. Sections 4, 9, 10, and 15 still apply after these terms end.
12. Events outside our control
Neither of us is liable for a delay or failure caused by something outside its reasonable control, such as an internet or service provider's outage, a power cut, a natural disaster, war, or an act of government, as long as it tells the other and does what it reasonably can to limit the effect. This doesn't excuse fees owed. If it stops Proppy for more than 30 days, either of us can end your plan, and we refund the fees you paid in advance for whole months after it ends.
13. Notices
We send notices by email to your owners and admins, and may also show them in Proppy. You send notices to james@talktoproppy.com. An email notice is received when it's sent, unless the sender learns it wasn't delivered.
14. General
- These terms, with the Data Processing Agreement and anything we agree with you in writing, are the whole agreement about Proppy.
- You may transfer these terms only with our written agreement. We may transfer them to a company that takes over Proppy, after telling you, as long as your data stays protected as the Data Processing Agreement says.
- Only you and we have rights under these terms, except that an MCST's management corporation may rely on what the Data Processing Agreement says about handing over its records. Otherwise, the Contracts (Rights of Third Parties) Act 2001 doesn't apply.
- If part of these terms can't be enforced, the rest still applies. Not using a right straight away doesn't give it up.
15. Law
Singapore law governs these terms, and the courts of Singapore decide any dispute about them.
